1. Intellectual Property and Copyright

All Designs offered on this website are original artworks wholly protected by international copyright laws. These artworks may not be used, provided to any third party, or reproduced in any form, including photocopying or digital copying, without written permission from The Print Room.

Upon full payment, copyright is assigned for the artistic work as per the layout purchased. You are purchasing an entire Design, which is the result of a combination of multiple creative elements. This purchase does not confer any rights in individual elements or motifs comprising the combination.

2. Use and Modification of Designs

Upon full payment, you are permitted to manipulate or alter the purchased Design, entirely at your own risk. LPD expressly disclaims all liability relating to:

• Manipulated or altered versions of any Design, and
• Use of individual elements separated from the original Design combination.

You acknowledge that any modified or derivative works created from the Designs are your sole responsibility. LPD shall not be held liable for any claims, damages, or losses arising from such use.

LPD retains the right to claim authorship of any Design created by LPD.

3. Payment Terms

Payment is due within 14 days from the invoice date, unless otherwise agreed in writing.

• Administration fees of 2.5% per month may be applied to unpaid balances after 30 days from the invoice date, at LPD’s sole discretion.
• If LPD is required to recover outstanding fees, you agree to indemnify LPD for all associated costs and disbursements, including but not limited to:
  • Internal administration fees
  • Legal costs on a solicitor and own Client basis
  • Collection agency fees
  • Bank dishonour fees

LPD reserves the right to withhold delivery or revoke licenses for any unpaid invoices.

4. Assignment of Copyright

Upon full payment, LPD will provide written confirmation of the assignment of any copyright in the purchased Design(s), if requested by you in writing.

5. Warranty Disclaimer

LPD makes no warranty regarding the intellectual property rights of the Designs and expressly disclaims all liability in connection with:

• Ownership or originality of any incorporated elements
• Third-party claims regarding infringement
• Use or misuse of the Designs by you or any third party

All Designs are provided “as is” without any warranty, express or implied.

6. Limitation of Liability

To the maximum extent permitted by law, LPD shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of:

• The website or its contents
• The Designs or their modification or application
• Any technical issues or interruptions

This limitation applies whether the claim is based in contract, tort, negligence, strict liability, or otherwise.

7. User Indemnity

You agree to indemnify, defend, and hold harmless LPD, its directors, employees, contractors, licensors, affiliates and agents from and against all claims, liabilities, damages, losses, expenses, and costs (including reasonable legal fees) arising from or related to:

• Your breach of these Terms of Use
• Your breach of these Terms of Use
• Your violation of any law or third-party rights
• Any claim arising from your alteration, distribution, or commercial use of the Designs
• Any content you upload, post, or transmit through the website

This indemnity survives the termination of these Terms.

8. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales in all disputes arising out of or relating to these Terms or your use of the website.

9. Amendments

LPD reserves the right to update or amend these Terms at any time without prior notice. Changes are effective upon being posted on this page. Your continued use of the website constitutes acceptance of those changes.
